Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and CitedSpy Inc. ("CitedSpy", "we", "us", or "our"), governing your access to and use of the CitedSpy platform, website, APIs, and related services (collectively, the "Service").

By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

Description of Service

CitedSpy is a Generative Engine Optimization (GEO) tracking platform that monitors how AI-powered search engines mention, describe, and recommend your brand. The Service includes:

• AI engine monitoring - automated tracking across ChatGPT, Perplexity, Gemini, Copilot, Claude, and Grok
• Brand mention analysis - share of voice, sentiment scoring, citation source tracking, and competitor benchmarking
• Optimization recommendations - actionable suggestions to improve your AI visibility
• Reporting and alerts - email reports, Slack notifications, webhook integrations, and white-label PDF exports
• API access - programmatic access to your tracking data (Agency tier)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. AI engine availability depends on third-party API access, which may change without our control.

Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You agree to:

• Maintain the security and confidentiality of your login credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account
• Notify us immediately at [email protected] if you suspect unauthorized access

You must be at least 18 years old to create an account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

Subscription & Billing

CitedSpy offers three subscription tiers, billed monthly or annually:

Annual subscriptions are billed upfront and provide a discount equivalent to two free months. All prices are in US Dollars (USD). Applicable taxes may be added at checkout based on your jurisdiction.

Payment is processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current.

We may change pricing with at least 30 days' written notice. Price changes will apply at the start of your next billing cycle. Accounts enrolled under "Founder Pricing" promotions are grandfathered at their locked rate for the lifetime of the subscription.

Free Trial

New accounts are eligible for a 14-day free trial. During the trial period:

• No credit card is required to start
• You will have access to the full feature set of your selected plan
• Your trial will automatically expire after 14 days unless you subscribe
• We will not charge you unless you explicitly enter payment information and confirm your subscription

We reserve the right to modify or discontinue the free trial offer at any time. Free trial eligibility is limited to one trial per person or organization.

Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation:

• Your access continues until the end of your current billing period
• No further charges will be applied after the current period ends
• Your data will be retained for 30 days after cancellation, during which you may export it or reactivate your account
• After 30 days, your data will be permanently deleted

Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicense, or redistribute the Service without express written permission (white-label features under the Agency plan are an approved exception)
• Transmit viruses, malware, or any code of a destructive nature
• Use automated scripts to scrape or extract data from the Service outside of the provided API
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate another person or entity, or misrepresent your affiliation
• Use the Service to generate misleading, fraudulent, or deceptive content

We reserve the right to suspend or terminate accounts that violate these restrictions, with or without notice depending on the severity of the violation.

Intellectual Property

The Service, including its source code, design, logos, trademarks, documentation, and all related intellectual property, is owned exclusively by CitedSpy Inc. and is protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, in accordance with these Terms and the limits of your subscription tier.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code, unless applicable law expressly permits it.

"CitedSpy", the CitedSpy logo, and related marks are trademarks of CitedSpy Inc. You may not use our trademarks without prior written consent.

Data Ownership

Your data is yours. You retain all ownership rights to the data you provide to the Service, including brand names, competitor lists, prompt configurations, and any other content you submit ("User Data").

By using the Service, you grant us a limited license to process, store, and display your User Data solely for the purpose of providing and improving the Service. We will not sell, share, or monetize your data outside of this purpose.

AI engine responses, analysis results, mention scores, and reports generated by the Service ("Output Data") are derived works created through the Service. You have full rights to use, export, and share Output Data for your business purposes, including in client reports under the Agency plan.

We may use anonymized, aggregated data that does not identify you or your brand to improve the Service, conduct research, and publish industry benchmarks. For details on how we handle your data, please review our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by applicable law, CitedSpy Inc. and its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunity
• Cost of procuring substitute goods or services
• Interruption of business or loss of goodwill
• Any damages arising from third-party AI engine changes, outages, or API modifications

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall our total aggregate liability exceed the amount you paid to CitedSpy in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless CitedSpy Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any content or data you submit through the Service

This indemnification obligation will survive termination of these Terms and your use of the Service.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

• Breach of these Terms or our Acceptable Use Policy
• Non-payment of subscription fees after a 7-day grace period
• Requests by law enforcement or government agencies
• Extended periods of inactivity (12 months or more on free or expired trial accounts)
• Discontinuation or material modification of the Service

Upon termination, your right to use the Service will immediately cease. We will retain your data for 30 days after termination to allow for export. After 30 days, all data associated with your account will be permanently deleted.

Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in Wilmington, Delaware.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or any other representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Send a notification to the email address associated with your account at least 30 days before the changes take effect
• Display a prominent notice within the Service dashboard

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscription before the changes take effect.
